Terms & Conditions

These Terms and Conditions ("Terms") are an agreement between you ("User," "you") and Arham Chhajed, operating as Undesk ("Undesk," "we," "us"), an independent, founder-led venture based in Bhusawal, Maharashtra, India. Undesk is not currently a registered legal entity; these Terms are entered into with Arham Chhajed as an individual, operating the Undesk product and website (undesk.in).

You must be at least 18 years old to create an account or use Undesk. By using Undesk, you confirm that you meet this requirement.

Each account is intended for use by one business or organization. Creating multiple accounts to circumvent plan limits or pricing is not permitted.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@undesk.in if you suspect unauthorized access to your account.

Undesk offers a free plan and paid subscription plans (currently Plus, Pro, and Business), each with different feature access and usage limits. Current plan features, limits, and pricing are published at undesk.in/pricing, which is the authoritative and most up-to-date source — this document intentionally does not restate specific limits (project counts, storage, invoice caps, etc.) here, since those may change and a static legal document would go out of date.

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, depending on your selected plan) until you cancel. You may cancel at any time; cancellation takes effect at the end of your current billing period, and you will not be charged for the next cycle.

Subscription payments are processed by Razorpay. Undesk does not store your full payment card details; these are handled directly by Razorpay in accordance with their own security standards.

Refunds

Refunds are not automatic. If you believe you are entitled to a refund, contact us at support@undesk.in with the details of your request. We will investigate the request and issue a refund at our discretion if warranted. This process may take time to complete.

Undesk allows you to generate and send invoices to your own clients, and to track the payment status of those invoices. Undesk does not process payments between you and your clients — if your client pays an invoice, that payment happens through whatever method you and your client arrange directly, outside of the Undesk platform. Undesk only records and displays the status you or your client-facing workflow indicates.

Undesk is a tool to help you manage your client relationships and is not a party to any contract, invoice, or payment arrangement between you and your clients. Disputes regarding payment, contract terms, or deliverables between you and your clients are solely between you and your client.

Undesk provides tools to draft contracts and collect electronic signatures from your clients via secure links, including a record of signature data, IP address, and timestamp at the time of signing. Undesk provides this functionality as a tool; Undesk is not a party to any contract created or signed using this feature, and is not responsible for the legal enforceability, accuracy, or content of contracts you create.

You retain ownership of the data you enter into Undesk, including client information, project data, financial records, and any content you upload. We do not use your data or your clients' data to train AI models.

Undesk's AI Assistant feature uses a third-party large language model (LLM) provider to process your requests and generate responses based on your workspace data.

Account and data deletion

You may delete your account from within Undesk (or by contacting support@undesk.in, if the in-app option is not yet available to you). Upon deletion, your account and associated data will be permanently deleted from our systems within 30 days.

You agree not to:

• Upload, store, or transmit illegal content through Undesk, including via file storage or any other feature.
• Resell, sublicense, or otherwise provide access to your Undesk account to third parties without authorization.
• Use Undesk's Lead Scraper or any other feature to send spam, unsolicited bulk communications, or to harass individuals or businesses.
• Attempt to circumvent Undesk's security measures, access other users' data without authorization, or interfere with the normal operation of the service.

We reserve the right to suspend or terminate your account:

• Immediately, without prior notice, if we reasonably believe you have violated Section 8 (Acceptable Use), engaged in illegal activity, or pose a security risk to Undesk or other users.
• With notice, in cases of non-payment, after a reasonable opportunity to resolve the outstanding balance.

Undesk is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation of the service. We target approximately 95% uptime as a reliability goal; this is stated as an aspirational target, not a formal Service Level Agreement with guaranteed remedies (such as service credits) — while we make commercially reasonable efforts to meet or exceed this target, downtime may occur due to maintenance, updates, third-party infrastructure providers (including but not limited to Supabase, Cloudflare, and Vercel), or circumstances outside our control. To the maximum extent permitted by law, Undesk is not liable for losses arising from service unavailability.

The Undesk name, logo, product design, and underlying software are owned by Undesk's founder(s). Undesk currently has no registered trademarks. You retain no rights to Undesk's branding, software, or design beyond your right to use the service under these Terms.

To the maximum extent permitted by applicable law, Undesk and its founder(s) shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service, including but not limited to loss of data, loss of revenue, or loss of business opportunities. Undesk's total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid to Undesk in the twelve (12) months preceding the claim.

We may update these Terms from time to time. During Undesk's current early/MVP stage, changes will be reflected by updating the "Last updated" date at the top of this page. We do not currently commit to active notification (e.g. email) of changes; check this page periodically. This approach may be revisited as Undesk matures.

These Terms are governed by the laws of the State of Maharashtra, India. Any disputes arising from these Terms or your use of Undesk shall be subject to the jurisdiction of the courts located in Maharashtra, India.
